制造商行为准则协议
RECITALS
序言
A. The Manufacturer is engaged in the business of selling, manufacturing, or coordinating the manufacturing or actual manufacturing of various types of merchandise, and represents that it possesses the necessary facilities and ability to manufacture or procure the products the Buyer seeks to purchase. 
制造商从事各类商品的销售、制造或协调制造,或实际制造等业务,代表他具有必要的设备和能力来制造或获取买方寻求购买的产品。
B. The Buyer, BENSUSSEN DEUTSCH & ASSOCIATES INCORPORATED, is engaged in the business of importing, marketing, selling, and merchandising various types of merchandise, generally pursuant to 
licensing agreements to use the trademarks and/or services of others. 
买方美国宝德有限公司从事各类商品的进口、市场营销、销售及购货的业务,一般根据许可授权协议的规定使用商标和/或提供其他服务。
C. The Manufacturer desires to manufacture and sell to the Buyer, and the Buyer desires to purchase from the Manufacturer, those certain products described more particularly herein below, all upon the terms and conditions set forth herein below, specifically adherence to ALL standards set forth to provide a safe, humane, and legal working condition for all employees. 
制造商希望制造商品并出售给买方,买方希望从制造商处采购商品,这些特定商品在下文中进行了更加明确的描述,按照如下陈述的条款和条件,特别附上对全部标准的说明,籍此向全体员工提供一个安全、人性化及合法的工作环境。
D. Now therefore, in consideration of the mutual covenants and agreement set forth herein below, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Manufacturer and the Buyer hereby agree as follows:
据此鉴于如下所述公共契约和协议,出于更好和有价值的考虑,特此接受并承认其有效性,制造商与买方达成如下协议:
CODE of BUSINESS PRACTICES
商业行为准则
1. LABOR 工人
a. That working hours per week, wages and overtime pay practices comply with the standards set by local law or, in the absence of a law, address humane, safe and productive working conditions; 
每周工作时间、工资和加班工资的规定应符合当地法律规定的标准,或当地法律无相关规定,应提供人性化、安全和高效的工作环境;
b. That no one under the legal minimum age is employed in any stage of manufacturing; that a minimum age of 14 applies in all circumstances or, if higher the local minimum age for employment or the age for completing compulsory education; 
在任何一个制造环节,雇佣员工的年龄不得小于法定最低年龄;法定最低年龄为 14 岁,适用于所有情况,或须大于当地最低就业年龄和完成义务教育的年龄。
c. That no forced or prison labor, slavery, or human trafficking is employed, that workers are free to leave once their shift ends, and that guards are posted only for normal security reasons; 
不得强迫雇员工作或雇佣监狱劳工,奴隶或涉及人口贩卖之人员。工作轮班结束后,工人可以自由地离开,设立门卫只是为了正常的安全;
d. That all workers are entitled to sick and health/maternity benefits as provided by law; 
 全体工人应依法享有病假/产假的福利;
e. That manufacturers will treat each employee with dignity and respect, and will not use corporal punishment, threats of violence or other forms of physical, sexual, psychological, or verbal harassment 
or abuse; 
制造商将尊重每位员工的尊严,并且不会使用体罚、暴力或进行其他身体上、性和心理上的骚扰,也不会口头辱骂;
f. That factories will not discriminate in hiring and practices including salary, benefits, advancement, discipline, termination or retirement, on the basis of race, religion, age, nationality, social or ethnic 
origin, gender, political opinion or disability; 
在工资、福利、晋升、纪律、解雇或退休等方面,无论种族、宗教、年龄、国籍、社会或文化背景、性别、政治观点存在差异,抑或是残疾,工厂都不会在雇佣和做法上有任何歧视; 
g. That all workers are entitled to freely exercise their rights of employee representation as provided by local law. 
全体员工均有权自由行使当地法律赋予的雇员代表权。
2. WORKPLACE 工作场所
a. That factories provide a safe working environment for their employees and comply with or exceed allapplicable local laws concerning sanitation and risk protection; 
工厂为员工提供一个安全的工作环境,遵守达到或超越当地所有适用法律在卫生设备和危险防护方面的规定;
b. That the factory is properly lighted and ventilated and that aisles and exits are accessible at all times; 
工厂应正确地安装照明和通风设施,走廊及出口应随时可用;
c. That there is adequate medical assistance available in emergencies, and that designated employees are trained in first-aid procedures; 
应有足够紧急医疗救助条件,并指定员工接受急救程序培训;
d. That there are adequate and well-identified emergency exits, and that all employees are trained in emergency evacuation; 
应有足够并容易识别的紧急出口,全体员工都应接受紧急疏散的培训;
e. That protective safety equipment is available and employees are trained in its use; 
安全设备应可用,员工应接受使用培训;
f. That safeguards on machinery meet or exceed local laws; 
机械上的防护措施应遵从达到或超越当地法律的规定;
g. That there are adequate toilet facilities which meet local hygiene requirements, and that they are properly maintained; 
有足够的卫生间设施,满足当地的卫生要求并对其进行适当的维护;
h. That there are facilities or appropriate provisions for meals and other breaks; 
应对用餐或其他休息提供设施并做出适当规定;
i. That dormitory rooms and sanitary facilities (if provided) meet basic needs, are adequately ventilated and meet fire safety and other local laws; 
宿舍房间和卫生设施(如果有提供)应满足基本需要,有足够的通风设施并符合消防安全规定和其他当地法律;
j. That no mental or physical disciplinary practices are employed. 
不得使用任何精神或身体上的惩戒措施。
