3. COMPLIANCE 合规
a. The purpose of this Code is to establish a standard of performance, to educate, and to encourage commitment to responsible manufacturing, not to punish. 
本准则的目的在于建立一套执行标准,教育并鼓励遵守生产承诺,而不是为了惩罚目的。
b. To determine adherence, Manufacturers will evaluate their own facilities as well as those of their contractors. Manufacturers will examine all books and records and conduct on-site inspections of the 
facilities, and request that their contractors follow the same practices with subcontractors. 
为了确保本准则的遵守,制造商将对其自己及承办商的设施进行评估。制造商将检查全部帐目和记录,并进行现场设施检验,要求其承办商和分包商遵循同一规定。
c. This agreement shall be signed by all companies producing for BDA on an annual basis. 
本协议应当以年度为基础,并由宝德公司的所有生产商签署。
d. BDA retains the right to inspect or send a third-party testing agency to inspect all facilities, records, and production to confirm adherence to this agreement. All Manufacturers will allow access at any 
time for the purposes of these inspections to any BDA employee, representative or testing agency. 
宝德公司保留检查或通过第三方检测机构来监测所有设施、记录和生产过程的权利,以确保本协议的遵守。全体制造商应允许这些宝德公司员工、代表或检测机构随时为检查之目的进入检查。
e. Contracts for the manufacture of products should provide that a material failure to comply with this agreement or to implement a corrective action plan on a timely basis is a breach of contract for which
the contract may be canceled. 
产品制造合同应规定,严重违反本协议的要求或未及时落实纠正行动方案的行为属于违约,可导致合同的解除。
4. ETHICS and REPORTING 道德与声明
BDA is committed to observing the highest ethical standards in all procurement activities. As such, this agreement summarizes BDA’s expectations in all procurement dealings, ensuring that internationallyrecognized ethics are followed. BDA expects uncompromising integrity and professionalism in all business relationships and as such, transparency and accountability should be strictly adhered to in all procurement, manufacturing, and inspection activities. 
宝德公司承诺在所有的采购活动中均遵守最高的道德标准。因此,本协议总结了宝德公司在所有采购交易中的期望,确保国际认可的道德标准得到遵守。宝德公司期望坚持操守和敬业精神贯穿于所有的业务关系中,因此,应该在所有的采购、制造和检验活动中严格实行透明度和问责制。
a. Manufacturers agree to zero tolerance on corruption and avoiding any form of conflict of interest. 
Furthermore, all Manufacturers must adhere to an honest representation of capabilities. 
制造商赞同对腐败的零容忍并避免任何形式的利益冲突。此外,所有制造商都必须坚持能力的诚实展示。
b. Manufacturers and their employees are expected to comply with this agreement regardless of local business practices or social customs. Bribes or other means of obtaining improper advantage or influence are not acceptable and will result in the termination of business with BDA. The Manufacturer and its employees shall not, directly or indirectly, offer to any BDA staff: money, goods or services as a 
consideration or in expectation of a favorable decision, information, opinion, recommendation, vote or any other form of favoritism, which may qualify as a corruption.
无论当地的商业惯例或社会风俗如何,制造商及其员工都应遵守本协议。以贿赂或其他方式获得不正当优势或影响的行为将是不可接受的,并将导致与宝德公司业务的终止。制造商及其员工不应直接或间接

c. BDA does not allow bribes, payments or gifts to government officials by BDA employees or by a third party on BDA’s behalf.

d. BDA forbids all employees from soliciting gifts, entertainment, and favors from any Manufacturer. 
宝德公司禁止所有员工向任何制造商索取礼物、款待或利益。
e. BDA prohibits all employees from using or providing BDA information or position for personal gain. 
宝德公司禁止员工为其个人利益,使用或提供宝德公司信息或职位。
f. BDA employees are prohibited from accepting anything more than modest gifts, meals, and entertainment from any Manufacturer. The total value of annual gifts to any one BDA employee is not to exceed US$100. Gifts to BDA employees from any single Manufacturer are limited to two times per year. 
宝德公司员工禁止接受制造商超过小礼物、饭局或款待等以上的馈赠。任何一位宝德公司员工每年的礼物总价值不应超过 100 美元。宝德公司员工接受某一单独制造商的礼物每年不得超过两次。
g. Any exception to the BDA gift policy must be approved by BDA Human Resources (see below). 
任何宝德公司礼物的特殊情况必须经宝德公司人力资源部的批准(如下)。
h. BDA employees are prohibited from having a direct or indirect ownership interest in any Manufacturer. 
禁止宝德公司员工在任何制造商处直接或间接拥有所有者权益。
i. Manufacturer must immediately inform BDA if any of its staff and/or officers had or have a relative
employed with BDA. Failure to make such declaration shall be construed as a conflict of interest. 
若制造商的任何员工和/或干部与宝德公司存在或有过相关雇佣关系,制造商必须立即告知宝德公司。如不声明,则可视为利益冲突。
 j. Manufacturers are required to educate its employees on BDA’s high ethical standards and requirements. Manufacturer should create an environment where its employees can raise concerns without fear of reprisals.
制造商应以宝德公司的崇高道德标准和要求来教育其员工。制造商应创造一种环境,让员工可以提出其关注的问题,而不用担心报复。
k. BDA requires Manufacturer and/or any of its employees to report any Code of Conduct issues or concerns. 宝德公司要求制造商和/或其员工报告任何有关行为准则的问题或忧虑。
l. Reports should be made to BDA Human Resources. This includes, but may not be limited to, any potential ethical issues or violations of this agreement by a BDA employee or Manufacturer employee; 
any ethical issue in the procurement, manufacturing, or inspection processes; any other ethical concerns, or concerns that the Manufacturer or any of its employees may consider breach. 
报告应送至宝德公司人力资源部,包括但不限于,宝德公司员工或制造商员工任何潜在的道德问题或违反本协议的行为;任何在采购、制造或检查过程中的道德问题;任何其它道德问题,或其他关于制造商
或其任何员工的、可能视为违约的问题。
m. Report by phone call, email, fax or letter, English or local language. 
报告可通过电话、电子邮件、传真或信函的方式,使用英语或当地语言。
n. Report may be signed or anonymous. Anonymous reports may limit BDA’s ability to follow-up on an allegation, but all reports will be investigated. BDA may need clarification or more information to 
inspect the allegation. 
报告可以签名或以匿名的形式。匿名的报告可能会限制宝德公司对指控的的后续跟踪,但是所有的报告都将进行调查。宝德公司可能需要清楚的说明或更多信息来审查该指控。
o. BDA does not tolerate retaliation against anyone, who in good faith, reports possible violations of law, this agreement, or who asks questions about ongoing or proposed conduct relating to company 
business.任何人士及员工之善意报告可能违反法律、本协议的行为,或询问关于正在进行的或准备进行的有关的公司业务,宝德公司 A 不容许对其进行报复。
p. BDA will send a confirmation receipt of the report. 
宝德公司将发送一份报告的接收确认。
q. BDA will independently and objectively investigate each allegation thoroughly and impartially to determine the facts. BDA will provide an outcome of the investigation to the reporter. 
宝德公司将独立客观地调查每一项指控,以彻底公正地确定事实。宝德公司将向报告者提供调查结果。
5. SANCTIONS 处罚
Breach of this agreement by ethical wrong-doing may result in actions being invoked against the Manufacturer, in addition to contractual legal remedies. The actions applied will depend on the nature and seriousness of the breach. The range of actions available to be imposed on a Manufacturer includes but is not restricted to the following: 
除合同规定的法律赔偿外,由于道德错误违反本协议的可能导致针对制造商的其他行动。这些行动将取决于违反的性质和情节严重程度。对制造商采取的行动包括但不限于:
a. For Manufacturer: breach may result in disciplinary action up to and including termination of supplier agreements with BDA, and may result in BDA banning future contracts with Manufacturer. 
对于制造商:违约可能招致纪律处分,包括终止供应商与宝德公司的协议,并可能导致宝德公司禁止与制造商未来合约的签定。
b. Disclosure of nature of breach to all BDA associate companies and employees. 
向宝德公司所有相关公司和员工披露违约行为的性质。
c. BDA may seek full financial restitution and legal action, if deemed appropriate. 
适当情况下,宝德公司将寻求全面财务赔偿并采取法律行动。
d. BDA may report to governmental authorities for further investigation and/or prosecution. 
宝德公司可能向政府权威部门报告,以进行进一步调查和/或起诉。
e. For BDA employees: violation of this agreement is grounds for disciplinary action up to and including discharge and possible legal prosecution. 
对应宝德公司员工:违反本协议可能被纪律处分,包括解雇和可能的法律起诉。
